Overview

By placing an order for any service with Agilo Agency, You acknowledge that you have read, understood, and agreed to the following Terms & Conditions. These terms are designed to ensure a transparent, professional, and efficient working relationship while protecting both our clients and our team throughout the duration of every project.

Services

Agilo provides a range of digital services, including but not limited to website development, web applications, mobile application development, custom software development, UI/UX design, branding, graphic design, search engine optimization (SEO), digital marketing, social media marketing, pay-per-click (PPC) advertising, e-commerce solutions, website maintenance, hosting assistance, and other related digital services.

The scope of work for each project will be clearly defined in the approved quotation, proposal, or invoice before work begins

Payment & Payment Plans

We offer flexible payment options depending on the nature and value of the project. Payment schedules will be agreed upon before work begins.

A project will only commence once the required initial payment or deposit has been received. Receipt of the first payment reserves your project slot within our production schedule.

Unless otherwise agreed in writing, all remaining payments must be made according to the agreed payment schedule. Failure to make payments on time may result in delays, suspension of work, or termination of the project until outstanding balances have been cleared.

Ownership of any completed work, source files, website files, code, or other deliverables remains with Agilo until the project has been paid in full.

Pricing & Additional Charges

The quoted price covers only the services specifically outlined in the approved proposal or invoice.


Any additional work requested outside the original project scope, including revisions beyond those included, additional pages, new features, integrations, third-party software, content creation, stock assets, premium plugins, paid APIs, hosting, domains, licensing fees, or maintenance services, may incur additional charges.

Unless explicitly stated in writing, all third-party costs remain the responsibility of the client.

Project Requirements​

To ensure timely completion, the client agrees to provide all required information, content, branding materials, images, login credentials, feedback, and approvals in a timely manner.

Any delays caused by missing information, incomplete content, or delayed approvals may result in adjustments to the project timeline.

Agilo is not responsible for project delays resulting from incomplete or inaccurate information supplied by the client.

Revisions & Scope Changes

Each project includes the number of revisions specified in the approved proposal.
Minor revisions that remain within the agreed scope will be completed without additional charges.

Requests involving major design changes, functionality changes, additional features, structural modifications, or any work outside the agreed project scope may require a revised quotation and additional payment.

Once a development phase has been approved, requests to substantially alter previously approved work may not be accepted or may incur additional charges.

Client Responsibilities

The client agrees to:

  • Provide accurate project requirements.
  • Supply all necessary content and materials.
  • Review work and provide feedback within a reasonable timeframe.
  • Ensure they have legal rights to all supplied content, logos, trademarks, images, videos, and intellectual property.
  • Make payments according to the agreed schedule.

The client accepts full responsibility for the legality, ownership, and accuracy of all content supplied to Agilo.

Communication

All project communication should take place through agreed communication channels such as email, WhatsApp, Slack, Discord, Microsoft Teams, or other approved platforms.

If the client becomes unresponsive for more than 14 consecutive days without prior notice, Agilo reserves the right to pause the project until communication resumes.

Any delays resulting from lack of communication will not be considered the responsibility of Agilo.

Delivery

Upon receipt of the final payment, Agilo will deliver the agreed project deliverables.

Website projects may be delivered through server deployment, downloadable files, Git repositories, staging servers, or other agreed methods.

The client is responsible for reviewing all deliverables promptly after delivery.

If no issues are reported within 14 days of delivery, the project will be considered accepted and completed

Intellectual Property

Upon full payment, ownership of the final approved deliverables transfers to the client unless otherwise agreed.

Agilo retains ownership of:

  • Internal development tools
  • Frameworks
  • Libraries
  • Reusable code
  • Development methodologies
  • Design systems
  • Templates
  • Proprietary processes


Unless requested otherwise in writing, Agilo reserves the right to display completed work within its portfolio, website, marketing materials, and social media for promotional purposes.

Cancellation & Refund Policy

Once work has commenced and any payment has been received, payments made for completed work, project planning, research, design, development, consulting, or purchased third-party services are non-refundable.

If the client cancels the project after work has begun, Agilo reserves the right to retain all payments received to cover work completed, administrative costs, and resources allocated to the project.

If outstanding work exceeds payments received, the client remains responsible for payment for work completed up to the cancellation date

Chargebacks & Payment Disputes

By making payment, the client agrees not to initiate chargebacks or payment disputes for services already performed, project milestones completed, approved work, or digital deliverables provided

Fraudulent payment disputes may result in suspension of services, legal action, and recovery of associated costs, including legal fees where permitted by law

Agreement

By placing an order, approving a quotation, signing a proposal, submitting payment, requesting services, or continuing with any project, the client confirms that they have read, understood, and agreed to these Terms & Conditions.

Failure to read these Terms & Conditions does not invalidate or void this agreement.

Any payment made toward a project constitutes full acceptance of these Terms & Conditions and forms a legally binding agreement between the client and Agilo inc ltd
